Position Description:
We are searching for a highly experienced, Paralegal. The role will primarily support the credit and finance associate general counsel in the areas of drafting legal documents, facilitating loan closings, credit, and record management, note taking, loan and regulatory compliance, litigation support, due diligence, research, administrative functions, and such tasks as required by the Legal/Corporate Affairs Department. The Paralegal will manage and facilitate credit actions from approval to legal review to draft document preparation to issuing participation certificates for execution via DocuSign to funding and through post-closing activities.

Day-to Day-Duties and Responsibilities:
- Responsible for preparing and facilitating the preparation of participation certificates, agency agreements, direct notes, and other loan documents (as required) in a timely and accurate manner.
- Tracking and managing loan documents, including execution via DocuSign.
- Review of post-closing loan documents, perfection of security interests, title policies and other post-closing items to ensure correctness, completeness and protection of the bank's security interests.
- Research, review and summarize UCC lien, secretary of state, property tax and real property record searches.
- Responsible for managing the iDocket subscription and litigation.
- Responsible for managing active Legal Hold Orders, subpoenas and other record management.
- Monitoring active litigation and bankruptcies dockets.
- Attending lender calls, court hearings and meetings and taking accurate notes (as required).
- Organizing conferences and meetings.
- Assists with FCA, insurance and other reporting requirements.
- Collaborating with outside counsel and business partners to improve existing company practices and procedures.
- Completes other ad-hoc projects as assigned from time to time by the Corporate Affairs/Legal Department.

What You Bring to the Team:
It's an important role that covers many skills. We're seeking applicants with a Bachelor's Degree from an accredited university or Paralegal Degree or Certification with coursework in business law, contract law, real estate, banking, credit and finance or 5+ years equivalent experience in commercial lending. Experience in drafting commercial loan documents and/or review is required. The best qualified candidates will have proficient knowledge of bilateral and syndicated lending transactions, the Farm Credit System, compliance, loan systems, and loan documentation and closings. Litigation and regulatory experience are also desirable.

Position requires excellent written and oral communication skills, aptitude for details, analytical skills, excellent business judgment and proficiency in organizing and planning. Employee should have proficient technical skills, including document drafting capabilities, familiarity with financial and legal terminology and loan documentation and ability to work under pressure and deadlines. The focus of this job is on producing high quality, detailed work based on established standards, guidelines and procedures.
