Associate General Counsel of Technology is responsible for advising the business groups on legal and strategic matters surrounding security and risks associated with technology contracting. Draft, review and negotiate IT contracts, including but not limited to license agreements, escrow agreements, SaaS contracts, hardware and software purchasing agreements, development agreements, IP assignments, and other commercial documents and contracts as requested by the business related, directly or indirectly to technologyResearch regulatory issues around technology, artificial intelligence, data breach, data breach response, emerging technologies, licenses, intellectual property etc. or other research issues as they ariseAdvise stakeholders on appropriate course of action regarding contracts, regulatory requirements, and other superseding conditionsResolve disputes with vendors, suppliers, contractors, subcontractors, and other business partnersComplete due diligence on acquisitions, joint ventures, and mergersSupervise paralegals in preparing, correspondence, revisions to documents and policy, and other duties as assignedInstruct paralegals and legal assistants in performing project-related tasksModel behaviors that support the company???s common purpose; ensure guests and team members are supported at the highest levelEnsure all activities are in compliance with rules, regulations, policies, and proceduresIdentify areas of potential legal risk and develop strategies to address themProvide training and guidance to internal stakeholders and clients on legal mattersDevelop and implement policies and procedures related to legal mattersComplete other duties as assignedQualificationsA Juris Doctor (JD) degree from an accredited college or university, requiredLicense to practice law in the state of Tennessee or registration with the Tennessee Board of Law Examiners if not licensed in the state of TennesseeMinimum three years’ prior experience working in a law firm or other corporate legal setting is requiredMinimum two years' of legal technology experience requiredKnowledge of general business and contract law with emphasis on past experience in technologyIntermediate Microsoft Office skillsIntellectual property knowledge considered a plusTime management and ability to prioritize in a fast-paced environment while working autonomouslyCritical thinking and ability to proactively identify potential problems and mitigate existing issuesLegal research capabilities with attention to detailAbility to demonstrate confidence, professionalism and assertiveness in complex and challenging circumstancesAbility to think strategicallyAbility to lead, organize, prioritize, and manage projects effectivelyAbility to communicate legal requirements into technical specificationsExcellent writing, negotiation, interpersonal and speaking skillsAdditional Information#LI-CH137808
