Job Purpose
The Associate General Counsel, Securities Disclosure & Reporting supports Jackson Financial Inc.on U.S. Securities and Exchange Commission (SEC) and the New York Stock Exchange (NYSE) disclosure and reporting matters. The Associate General Counsel, Securities Disclosure & Reporting has extensive working knowledge and practical in-house experience relating to SEC and NYSE disclosure, reporting, and compliance requirements applicable to a publicly-listed financial services company. This role reports directly to the AVP, Securities Disclosure & Reporting.
Essential Responsibilities
  • Support the AVP, Securities Disclosure & Reporting, in:
    • researching securities laws and regulatory requirements for SEC periodic disclosures and reporting;
    • drafting and reviewing Forms 10-K, 10-Q, 8-K and proxy statement, Section 16 Forms 3, 4 and 5, NYSE compliance written reports, and other registrant regulatory filings required in the financial services industry;
    • working closely with and advising the SVP, Corporate Law & Corporate Secretary, the Executive Committee, Finance, and Treasury on securities laws and disclosure requirements for external reporting;
    • supporting and advising Investor Relations, External Communications, and Total Rewards; and
    • supporting corporate governance and disclosure matters and drafting and reviewing corporate policies from a securities law perspective (including clawback rules, climate change, cybersecurity, Environmental, Social, and Governance (ESG), Rule 10b5-1 plans, insider trading, Regulation FD, and EDGAR filing rule changes).
  • Support the broader Corporate Secretary team on a variety of matters, including board materials, corporate governance, subsidiary maintenance, capital markets' transactions, and mergers & acquisitions, as needed.
  • Assist with general corporate matters, including governance, policies and procedures, and equity plans.
  • Work with and supervise outside counsel, monitor invoicing, and manage costs associated with outside counsel spend.

  • Strong working knowledge of Microsoft Office Suite.
  • Effective at establishing and maintaining positive working relationships with management, colleagues, and internal and external contacts.
  • Strong negotiation and influential skills.
  • Demonstrated mentoring skills.
  • Extensive knowledge of U.S. federal securities laws, rules and regulations and the NYSE or NASDAQ listing requirements and ongoing Listed Company Manual. Significant experience advising public companies on same.
  • Experience drafting a proxy statement and the proxy card and managing the proxy statement filing process.
  • Working knowledge of Workiva.

Qualifications
  • Juris Doctorate from ABA accredited law school required.
  • Member in good standing of a State Bar Association required.
  • 8+ years of post-bar legal experience required.
  • 5+ years of in-house or large firm experience handling SEC disclosures, NYSE or NASDAQ compliance, corporate governance experience required.
  • Experience in financial services preferred.
  • Experience in annuity/life insurance preferred.
