JOB DESCRIPTION SUMMARY- The Associate Counsel, under the direction of the General Counsel, provides legal advice and prepares and reviews legal documentation for the organization.

KEY RESPONSIBLITIES

  • Entity Administration:
    • Drafting, preparing, and reviewing operating agreements
    • Drafting, preparing, and reviewing organizational charts for projects and entities
    • Drafting, preparing, and reviewing organizational other corporate governance documents

  • Homeowners’ Association:
    • Drafting, preparing, and reviewing HOA governing documents
    • Drafting, preparing, and reviewing CC&Rs, declarant turnovers, reinvestment fee notices, etc
    • Coordination with HOA management companies

  • Real Property Acquisitions, Dispositions, and Development:
    • Drafting, preparing, and reviewing letters of intent
    • Drafting, preparing, and reviewing purchase and sale agreements and related addenda
    • Drafting, preparing, and reviewing easements, temporary licenses, development agreements, and other related documents
    • Assisting in the closing process

  • Financing:
    • Drafting, preparing, and reviewing loan documents
    • Assisting in the compilation of due diligence documents
    • Assisting in the closing process

  • Other Legal Matters
    • Assist in the management of ongoing litigation
    • Drafting, preparing, and reviewing enforcement communications
    • Drafting, preparing, and reviewing other miscellaneous legal documents and agreements

REQUIRED QUALIFICATIONS

  • Juris Doctor Degree from an accredited University
  • Licensed to practice law in the State of Utah
  • At least two years of post-graduate legal employment
  • Proficient computer skills, including Microsoft Office Suite (Word, PowerPoint, and Excel)
  • Excellent scheduling and organization skills
  • Excellent written and verbal communication skills
  • Excellent time management skills and the ability to prioritize tasks
  • Able to organize and manage large amounts of tasks, schedules, and information
