Job description

The Office of the General Counsel (OGC) provides legal advice and counsel to the University of Denver on the broad spectrum of legal issues that arise in the operation of the University, including litigation, contract review, agency proceedings, general legal advice, and other regulatory compliance issues. The OGC is also responsible for engaging the services of outside law firms, where appropriate, and for coordinating and supervising their work. The OGC is led by the Senior Vice Chancellor for Legal Affairs and General Counsel (General Counsel).
Position Summary
This full-time position reports directly to the General Counsel. The Assistant General Counsel will provide legal services to the University of Denver on a wide variety of matters affecting a major, private research university. The position will have a primary focus on transactional matters, including the formation, negotiation, execution and administration of the entire range of transactions essential to the operations of the University.
Essential Functions
Legal Services to Client

  • Serves as a trusted strategic partner with University business units, providing practical advice and alternative solutions to business issues.
  • Provides legal counsel and operational advice to business and academic units on a wide variety of issues, including but not limited to transactional arrangements.
  • Drafts, reviews, revises, and negotiates University contracts, memoranda of understanding, and similar agreements.
  • Supervises legal services of outside counsel.
  • Analyzes the business case for external transactions with an appreciation of financial/analytical issues and strategic implications.
  • Interprets, applies, and advises on university policy, applicable laws, and other technical and legal concepts in a wide variety of situations.
  • Uses mature judgment in resolving related issues and problems.
  • Performs appropriate administrative and operational research to support transactional development.
  • Collaborates with other university units as necessary to achieve operational goals while minimizing legal risk.
  • Provides training to stakeholders on areas including contract management and limits of authority.
  • Leadership and administration

  • Provides functional advice, training and guidance and effectively mentors less-experienced attorneys.
  • Maintains accurate and complete legal files according to OGC protocols.
  • Represents OGC as member of, and/or legal counsel to, University committees and task forces.

  • Knowledge of transactional legal issues that arise in corporate or non-profit settings.

  • Excellent written, verbal and interpersonal communication skills, including the ability to deal with broad and diverse constituencies at all levels of management, with strong customer service orientation and skills.
  • Ability to handle multiple unrelated matters concurrently, timely, and accurately.
  • Demonstrated skill in performing under the pressure of frequent interruptions, conflicting demands, and changing priorities.
  • Ability to perform in a cross-functional, diverse environment.
  • High degree of independence.
  • High ethical standards that reflect honesty, integrity, and reliability.
  • Proficient in Microsoft Office (particularly Outlook and Word) and Adobe.
  • Ability to learn and effectively use OGC records management system (NetDocuments).
  • Required Qualifications

  • J.D. degree from an accredited ABA law school.
  • Admission in good standing to the Colorado Bar, or eligible for admission within six months of hire.
  • Five plus (5+) years of experience as a practicing attorney advising clients on contracts and transactions.
  • Demonstrated ability to provide effective general legal advice to large complex clients; sound judgment; discretion; diplomacy; objectivity; integrity; and ethics.
  • Preferred Qualifications

  • Expertise in legal matters applicable to higher education institutions and/or non-profit organizations (e.g., intercollegiate athletics, research and sponsored programs, intellectual property, study abroad, Title IV of the Higher Education Act, donor and gift agreements).
  • Previous experience employed in a higher education setting.
  • Familiarity with applicable privacy laws, including FERPA, GDPR, and the Colorado Privacy Act.

    • May be subject to extreme heat and cold on occasion
    • On-call rotation duties
    • Some evening and weekend work hours
      Physical Activities
    • Ability to sit in front of a computer for an extended period
    • Occasionally required to move about the office/campus with the capability of transporting objects up to 20 lbs.
      Work Schedule
      Monday - Friday, 8:00 a.m. - 4:30 p.m. In accordance with the Universitys flexible work policy, this position is eligible to be considered for partial remote work. Further details regarding this plan will be determined with the hiring manager and are dependent on the division and team specific needs.

      Salary Grade Number:
      The salary grade for the position is 15.
      Salary Range:
      The salary range for this position is $126,000 - $136,000.
      The University of Denver has provided a compensation range that represents its good faith estimate of what the University may pay for the position at the time of posting. The University may ultimately pay more or less than the posted compensation range. The salary offered to the selected candidate will be determined based on factors such as the qualifications of the selected candidate, departmental budget availability, internal salary equity considerations, and available market information, but not based on a candidates sex or any other protected status.
