Transactional In-House Associate

For Hire: Transactional In-House Associate (4 - 6 years’ experience)

The employer is a group of related investment and media companies, which include venture capital funds, a media production company, and a digital distribution platform. The position will require general legal transactional skills, with an emphasis in commercial transactions. Experience with venture capital, investment funds and/or media production/distribution is a plus. The employer has offices in various states with the central legal office in San Diego; however, the position will be primarily remote.

The candidate must have transactional experience in a law firm and/or in-house setting, and possess strong analytical skills, research techniques, and excellent verbal and written communication skills. Additionally, the candidate shall pay strong attention to detail, be highly motivated, capable of self-direction, and able to work both collaboratively and independently.

Duties and Responsibilities:

· Draft, review and negotiate commercial and transactional agreements, including licenses, releases, leases, sponsorship agreements, notices, equity grants

· Provide support for finance, investment, and acquisition transactions, including drafting, reviewing and negotiating stock purchase agreements, SAFEs, and convertible notes

· Provide support for formation and operation of venture capital funds

· Advise on employment matters and draft employment agreements

· Advise company management on various legal and operational matters

· Prepare written consents and assist with corporate governance and multi-state compliance

· Conduct legal and non-legal research, fact-finding and due diligence projects

Qualifications and Experience:

· Juris Doctorate from an ABA accredited law school

· Membership in good standing in at least one state bar in the United States

· Four to six years of transactional experience at a law firm or in-house

· Experience with contract review and drafting, legal research and project management

· Background with investment funds, IP licensing and transfers, employment agreements and media/entertainment commercial agreements preferred

· Proficiency in Microsoft products (e.g., Word, Excel, and Outlook)
