Job description

The Senior Paralegal provides critical paralegal and legal administrative support for the Legal and Records Departments.  The position reports directly to the Associate General Counsel with a dotted line of report to all other attorneys in the Legal Department, including Corporate Counsel and the General Counsel.  The Senior Paralegal supports the Legal and Records Departments across all areas, including business licensing and registration, document management, litigation holds, corporate governance, organizing contracts, and taking a leadership role over the proxy and annual election processes. 

ESSENTIAL DUTIES AND RESPONSIBILITIES (and other duties as assigned)

  1. Maintain confidentiality of sensitive legal and HR matters with discretion.
  2. Implement and manage document retention/organization systems and centralized contract management database.
  3. Manage and maintain corporate records, minute books, business licenses and registrations, and other corporate documents.
  4. Provide support to ASRC's various departments and subsidiaries.
  5. Perform research under the supervision of attorneys.
  6. Review and draft contracts, letters, memorandums, legal holds, presentations, and other legal-related documents.
  7. Develop and maintain standard contract, letter, and other business document templates.
  8. Provide strategic support to ensure successful proxy and annual election processes. 
  9. Support the Corporate Secretary and Stock Departments, including strategic initiatives to support those Departments.
  10. Support merger and acquisition transactions and associated due diligence, including projects related to strategic growth initiatives.
  11. Ensure required corporate filings/corporate governance documents are in compliance and implement best practices to streamline and improve compliance efforts. 
  12. Assist in special project support tasks as directed by attorneys. 
  13. Interact professionally with all stakeholders, including Board of Directors, senior leadership team, internal and external clients, and staff, and maintain attorney-client confidentiality.
  14. Other duties as assigned.

SUPERVISORY RESPONSIBILITIES

Carry out managerial responsibilities in accordance with the organization's policies and applicable laws. Supervise all employees within the department. Responsibilities include: interviewing, hiring, disciplining, coaching and training, addressing and resolving employee concerns, planning, assigning, directing work and assessing job performance.

EDUCATION and/or EXPERIENCE

  1. Strong knowledge, understanding and sensitivity to the Inupiat culture.
  2. Relevant legal experience supporting senior level executive staff with a proven working knowledge of corporate activities including shareholder meetings and board meetings.
  3. Ability to organize work, establish priorities and maintain good interpersonal relations and communications with legal staff, as well as subsidiary staff.
  4. Working knowledge of various corporate filings, officer certifications and other corporate procedures.
  5. Paralegal certification by an institution approved by the American Bar Association or college training in paralegal studies or in a law degree program.
  6. Minimum of six years of paralegal or equivalent Legal experience.  Experience in a law firm is strongly preferred.
  7. Ability to identify and analyze complex legal issues and draft legal memoranda, position papers and related documents. 
  8. Ability to manage professional accreditation requirements, periodicals and memberships, etc.
  9. Must have strong technical knowledge of database, spreadsheet, Power Point and word processing software.  Minimum typing speed of 65 wpm.
  10. Excellent command of proper grammar and spelling with superior knowledge of correct law and corporate office format, policies and procedures, and the ability to edit and proof legal documents with excellent accuracy.

The work environment is in a busy office setting.  The noise level in the work environment is usually moderate. While performing the duties of this job, the employee may be occasionally exposed to outside weather conditions and may be required to travel in small and large commercial aircraft.
