Job Description:
Dimensional's Legal department is an in-house team of client-focused attorneys, paralegals, and legal assistants who partner with internal business clients and external counsel to help provide legal expertise across business functions, legal systems, and jurisdictions. Dimensional is seeking a new counsel role to focus on the monitoring of global ESG regulations, initiatives, and practices across the US and in international markets where Dimensional has operations or products. This ESG focused counsel will assist Dimensional's consideration of ESG matters and support ESG focused business partners, in addition to assisting with work on the variety of internal processes that have some ESG legal or regulatory aspects. This position will report to the Vice President and Deputy General Counsel, Funds.
Responsibilities:
- Review and coordinate the work of multiple internal groups in connection with the consideration of and any implementation relating to ESG regulations and/or initiatives
- Act as the primary contact for the legal department regarding implementation and compliance for ESG regulations and/or initiatives
- Assist in the development of the firm position and practice on ESG matters in each relevant jurisdiction
- Keep legal managers and General Counsel well briefed and assist in keeping the global legal team integrated and coordinated on ESG responses
- Oversee the work provided by outside counsel on a variety of legal matters ensuring that standards for service delivery and cost are met
- Assist the firm with compliance with applicable international, US federal, state or multi-jurisdictional regulatory law
- Review and interpret statutes, rules and policies relevant to the regulatory functions of Dimensional, its corporate subsidiaries and its fund complexes, and work with clients to meet their business objectives in the applicable regulatory environment
- Review or negotiate contracts with third party vendors
- Serve as legal consultant to internal business clients for special projects
- Prepare and, when requested, present materials such as memoranda, agendas, and meeting minutes for internal meetings, committee meetings, or the meetings of the various Boards of Dimensional, its subsidiary companies and/or its fund complexes; identify legal issues and provide legal advice of importance to the Boards
- Facilitate communication among all major stakeholders, including senior management and control functions
Qualifications:
- 4+ years of practice in a top-tier law firm, company or government agency handling legal and regulatory issues relating to registered investment products
- Substantial knowledge of federal securities law and corporate law, including familiarity with Investment Company Act of 1940 and Investment Advisers Act of 1940
- Knowledge of investment adviser and/or fund issues is highly desirable
- Some knowledge of US or international ESG regulation/requirements not required but preferred
- Excellent written and verbal communication skills, and able to advocate for and represent the Dimensional global companies and funds
- Self-motivated to meet deadlines and deliverables for multiple projects and to attend global calls and meetings
- Detail oriented with strong organization skills
- Able to work well in a team environment; experience working in a hybrid environment preferred
- Member of a US state bar
- JD from a top law school
- Proficient in Microsoft Office (Word, Excel, Outlook)
