This position will be remote; however, you must bewilling and able to work the 8am to 5pm business hours in the Central OREastern US time zones in support of our business partners. Travel expectation<10% and travel to the relevant business headquarter office will be requiredon an as-needed basis. This is a key, high-level positionwithin the Siemens Corporation Legal Department that willprovide support to the Smart Infrastructure operations on alllegal matters arising in its American operations.

This is an individualcontributor role. You'll make a difference by: Ability to work closely withbusiness partners/management and contribute to the success of the business byproviding practical legal and business advice. Work closely with contractprofessionals and provide legal advice and approvals where required duringcontract negotiations.

Perform substantial drafting andnegotiation of contracts with customers, vendors, and business partners. Contract review and advice onapplicable laws and risk mitigation strategies. Coordination of legal advice withglobal legal colleagues.

Analyze, manage, and resolve diversematters with government agencies and commercial customers. Review and provide legal advicerelating to high-profile contracts/subcontracts, bids, equipment/solutions andservice agreements, sales transactions, project implementation issues, andgeneral corporate matters. Assisting clients and stakeholdersto avoid liability claims and working closely with in-house/outside counsel tosuccessfully resolve claims and litigation when it arises.

Develop and provide legal trainingto the organization, and work with corporate executives to ensure adherence tocorporate policies. You'll win us over by having the followingqualifications: Basic Qualifications: JurisDoctorate from a U.S. accredited institution, in good standing, and licensed topractice law in one or more states.

Fiveplus years of legal experience in a transactional environment, gained in eithera law firm or corporate in-house position. Ahistory of work in commercial transactions and claims management. Experiencein contract drafting and negotiation.

Clearand concise communication regarding technical legal advice or data tonon-technical business partners and management. Willingnessfor potential domestic and international business travel. Preferred Qualifications: Extensive experience withequipment sales contracts, solutions contracts, service contracts, and softwarelicensing.

In-depth understanding ofSoftware as a Service (SaaS) subscription-based business models and cloud infrastructuretransactions. Ability to socializeideas, make recommendations, and gather team consensus to advance issues. Enthusiasm for learningnew things and championing change.

Self-driven and resourceful, able toindependently achieve goals and collaborate effectively in group settings. Flexibility to adapt andthrive in an environment with changing requirements, schedules, and prioritiesfor multiple projects or assignments. Excellent writing andeffective presentation skills.

Professional demeanorduring face-to-face customer, vendor, and business partner meetings. Familiarity withasset-based lending transactions. Knowledge of legal issuesspecific to the construction, manufacturing, industrial, and softwareindustries.

The pay range for this position is $110,800 -$190,000.

The actual wage offered may be lower or higher depending on budgetand candidate experience, knowledge, skills, qualifications, and premiumgeographic location.
