The Compliance Staff Counsel (CSC) serves as a key member of the HII Compliance team and Law Department; responsible for assisting the Deputy Chief Compliance Officer (DCCO) and Chief Compliance Officer (CCO) with oversight and coordination of all Compliance activities at HII and its subsidiaries.
Major Responsibilities of the CSC:
Assist with the development, implementation and management of the Corporate Annual Compliance Plan.
Manage the day-to-day activities of the HII enterprise due diligence program and other assigned enterprise-level Compliance initiatives.
Assist with the investigation and resolution of compliance inquiries and concerns.
Manage corporate Compliance communications, training programs and budgets.
Assist with regular review and evaluation of corporate policies, procedures and documentation.
Develop or recommend enhancements to Compliance continuous improvement and risk assessment processes.
Serve as a general resource to HII employees for enterprise Compliance issues.
Serve as a mentor and leader for the divisional Compliance Program Managers and other Compliance team members.
Manage and supervise the Third Party Management System, HII's Compliance Assessment Management System (CAMS) and related software, HII's Ethics and Compliance app, and technology initiatives related to HII's Compliance Program.
Create, lead, and manage eight Corporate Core Principle Work Plans (these plans explain the importance of a particular Core Principle; set forth what HII does currently with respect to that Core Principle; outline best practices and other requirements related to that Core Principle; and create action items that assist the entire enterprise with addressing any gaps between current and best practices.)
Create and improve the Compliance database and other collaboration tools.
Create, promote, and implement industry best practices.
Help facilitate integration of all acquisitions into the Compliance Program.
Manage comprehensive Compliance budget.
Help create a "big data" framework to improve Compliance activities.
Help identify and manage emerging compliance risks (non-governmental funding sources, human trafficking, money laundering, insider threats, Sarbanes-Oxley financial fraud requirements, etc.).
Assist with and lead additional Compliance reviews (records retention, security, cyber security, division specific reviews, etc.).
Assist the CCO and the Chief Legal Officer with HII's interaction with the Navy's Suspension and Debarment Official and other regulators.
Help develop additional Compliance architecture for new commercial businesses and/or international operations.
Work with management and division leaders to formalize and maintain systems, policies, and procedures to ensure compliance and to ensure that appropriate safeguards are in place to prevent, detect, and remediate compliance failures.
Assist in managing legal matters and advice related to HII's intellectual property, including HII's patent portfolio (filing decisions, drafting, reviews, and prosecution of patents).
- Juris Doctorate from an accredited U.S. law school and four years of experience
- Member in good standing of a state bar, preferably the Virginia State Bar. The successful applicant will need to be at least a corporate member of the Virginia State Bar shortly after his or her start date.
- Minimum of two years as a practicing lawyer with both a major international law firm and a corporation, preferably within the aerospace and defense industry.
- Three to five years of leadership experience in Compliance.
- Compliance Counsel and Lead Intellectual Property Attorney
- 2 years of IP experience preferred
- Member of the Patent Bar preferred
- Experience working in a highly regulated industry, preferably in a manufacturing environment.
- Proven ability to work effectively as a team player.
- Strong business acumen and an understanding of the defense industry.
- Outstanding judgment.
- Strong organizational and analytical skills.
- Ability to interact with and persuade deck-plate shipbuilders, engineers, vice presidents, and members of the board of directors.
- Unquestionable character, ethics, humility, and integrity.
