Contracts Manager

PURPOSE
The Contracts Manager supports the business units, project management and business development teams through legal review, negotiation, coordination and execution of all contracts, master service agreements, subconsultant agreements, work orders, RFPs, sample contracts, and other contractual agreements. The Contract Manager must have the ability to parse complex contractual language, identify risk, and lead efforts to negotiate mutually agreeable terms and conditions and mitigations to risk while maintaining client relationships. The Contract Manager is responsible for all phases of contract review and assisting with negotiation if needed.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES
The following duties are typical for this job. These are not to be construed as exclusive or all inclusive. Other duties may be required and assigned.
- Review, draft, amend and redline construction contracts, subcontracts, and sub-subcontracts including, but not limited to, master service agreements, master supplier agreements, vendor contracts, licensing agreements, purchase contracts, commercial leases, and/or non-disclosure agreements.
- Manage negotiation process for contracts, tracking all changes to negotiated documents, and preparing final documents for execution
- Organize, create, & present training materials for project managers and support teams as they relate to legal processes and procedures. Provide presentations with respect to contract administration including preferable contract language, risk assessment and mitigation, and other best practices.
- Identify the appropriate contract flow-down requirements for purchase orders and subcontracts to be issued under a client contract and assists in drafting terms and conditions and negotiating subcontracts and purchase orders with vendors and subcontractors.
- Facilitate conversations with subject matter experts and other cross-functional departments in areas such as risk management, finance, and data privacy as part of contract negotiations.
- Update and maintain records and contract information (document control)
- Deliver excellent customer service to internal and external clients.
- Coordinates compliance with Contractor & Owner Controller Insurance Program.
- Review insurance requirements for all contracts and consult with broker to ensure proper compliance.
- Act as the point of contact to Client for contractual matters
- Prepare, develop and manage timely contractual correspondence and notices in accordance with contractual requirements
- Develop and maintain efficient systems and processes for communicating key contract provisions to all stakeholders.
MINIMUM EDUCATION & EXPERIENCE REQUIRED TO PERFORM ESSENTIAL FUNCTIONS
- Bachelor of Arts/Science Degree in related field such as Law, Communications, English, etc. is preferred; legal or paralegal studies may also be suitable; a degreed/practicing attorney is not required but is a plus.
- 3+ years of experience in managing contract reviews and negotiations with skills in contract risk management, construction industry preferred.
- Knowledge of construction law, negotiating and drafting construction contracts
- Understanding of construction planning, scheduling and management
- Experience with AIA, ConsCoensus Docs, and DBIA contracts preferred.
- Word, Excel, DocuSign, and Adobe Acrobat Experience required.
