Associate General Counsel
Responsibilities:
Consult with company’s General Counsel and other company leadership on legal issues and implications of potential business decisions and initiatives, providing counsel on general business and legal issues- Draft, review, and negotiate service agreements, statements of work, business associate agreements, vendor agreements, leases, data security/access agreements, NDAs, and (as applicable) amendments to all such agreements with company’s clients and prospective clients
- Assist with management of litigation matters in collaboration with company’s General Counsel and outside counsel
- Assist company employees with complex tasks that require considerable judgment and initiative
- Support, as warranted, the formation, merger, reorganization and/or acquisition of certain corporate entities and related transactions, and draft, where appropriate, corporate governance documents and board, shareholder or corporate member resolutions
- Collaborate in the development and implementation of human resources policies and procedures with guidance from human resources management
- Assist, when requested, with developing employee training content
- Assist with management and resolution of employee claims, charges and grievances filed against the company in collaboration with internal stakeholders and, when appropriate, outside counsel
- Stay abreast of changes in applicable laws and regulations and how those changes impact the company’s business
- Identify proactive solutions that will eliminate or mitigate risks
- Create associations of trust and respect with key stakeholders
- Perform other functions as the needs arise
Requirements:
- Must possess a J.D. from an accredited U.S. law school. Must be admitted to, and in good standing with, a state bar
- 5+ years of relevant experience as licensed attorney in the healthcare field. Prior in-house counsel experience and transactional experience is highly desirable. Prior experience in a healthcare organization is a plus
- Must have a thorough understanding of the relevant areas of law applicable to the business including, without limitation, labor and employment, corporate, and relevant healthcare laws
- Excellent interpersonal and writing skills, experience in drafting and negotiating agreements, strong problem solving capabilities, and a clear understanding of the lawyer's role as a legal and business advisor
- Occasional client contact and an ability to provide both senior management and operating personnel with sound and practical legal advice
- Ability to multitask and prioritize multiple pressing assignments and obligations
- Must take a sound and practical approach to the position
- Strong character and ability to work well with others (both within the company and outside the company)
