Bristol Bay Construction Holdings, LLC (BBCH) is seeking an experienced attorney to join the BBCH Legal Team as an Associate General Counsel (AGC).

Duties and Responsibilities: The AGC will perform the following duties for the benefit of BBCH and its subsidiary companies:

  • Provide counsel and legal guidance to all levels of management, including senior management, concerning legal obligations and responsibilities applicable to the Company.
  • Collaborate with operational leaders to identify and mitigate risk, and to develop solutions to problems that arise during the course of operations that could result in legal or financial liability.
  • Conduct legal research and prepare written opinions based on that research.
  • Negotiate and prepare a variety of contractual documents including, but not limited to, licenses, contracts, teaming agreements, non-disclosure agreements and notices.
  • Review documentation and assist with activities associated with mergers and acquisitions.
  • Consult with or refer matters to outside counsel as required, typically upon recommendation of the Chief Legal Officer (CLO).
  • Assist with analysis and advice regarding ADR, ALC, litigation and pre-litigation matters.
  • Conduct internal investigations under the supervision of the CLO and Compliance Manager.
  • Advising internal clients concerning matters related to government contracting, construction law, contract law, Small Business Administration (SBA) regulations, and environmental law.
  • Assisting in corporate governance matters, including reviewing and drafting operating agreements, resolutions, appointments, and other documents associated with corporate actions and transactions.
  • Assist in the preparation various legal training courses and other presentations.
  • Assist in the development of policies and procedures.
  • Advising members of the operations teams concerning contract disputes.
  • Assist the CLO in a variety of legal, quasi-legal, compliance, corporate governance, and corporate risk activities and initiatives.

Required Education, Experience, & Skills. Only candidates demonstrating the following skills, experience, and education will be considered for the AGC position.

  • Juris Doctorate Degree received from an ABA accredited law school.
  • Admission to practice in the United States, preferably the State Bar of DE, MA, NH, ME, FL, TN, CA, CO, TX, DC, or AK.
  • Extensive government contracts experience with in-depth knowledge of the FAR/DFARs and other relevant government contracting rules and regulations.
  • A minimum of six (6) years practicing law in a firm, government, or corporate in-house setting.
  • A minimum of three (3) years litigation experience or five (5) years in a transactional, construction-focused practice.
  • Excellent written and verbal communications.
  • Because this position requires work with certain government contracts, the candidate must be a U.S. citizen.

Preferred Education, Experience, & Skills. Candidates that demonstrate the following skills, experience, and education will receive preferred consideration:

  • Prior experience in a law firm government contracts practice, government agency, or federal contracting in-house environment.
  • A degree or certificate in Construction Management, Cyber/Data Security, Government Contracting (GovCon), Architecture, or Engineering.
  • Experience litigating construction disputes.
  • Experience in the following practice areas - M&A, GovCon, Construction Law, Cyber/Data Security Law, or Environmental Law.
  • Experience advising clients concerning SBA regulations.
  • Experience working with Alaska Native Corporations (ANC)
  • Service in the U.S. military.

The AGC role may be suitable for a hybrid work arrangement. The position involves both collaborative and independent work, some of which will require in-person performance and other activities that can be performed remotely. The position can be performed from multiple locations in the United States, including:

  • Oak Ridge, Tennessee
  • Attleboro, MA
  • College Park, MD
  • Jacksonville, FL
  • Destin, FL
  • Anchorage, AK
  • Escondido, CA
  • San Antonio, TX
  • West Palm Beach, FL
  • Richmond, VA

Work Environment

Work Environment characteristics described here are representative of those that must be borne by an employee to successfully perform the essential functions of this job. 

The job is performed in an office setting with exposure to computer screens and requires extensive use of a computer, keyboard, mouse, and multi-line telephone system. The work described herein is primarily in a modern office setting. Occasional travel may be required.

 

Additional Qualifying Factors

As a condition of employment, you will be required to pass a pre-employment drug screening (post-accepted offer) and have acceptable background check results. If applicable to the contract, you must also obtain the appropriate clearance levels required and be able to obtain access to military installations.


Pay and Benefits Information
Full-Time Salary Range: $120,000 to $180,000.
The salary range is based on current market conditions; however, specific individual salaries are determined utilizing a number of factors including, but not limited to candidate qualifications, local market conditions, candidate qualifications, and interview performance. BBCH offers a rich benefit package that includes medical, dental, vision, 401K, and life insurance.
