About the Technology & Sourcing Legal Department:
GLCR's Technology & Sourcing Legal department provides legal support to the firm's CIOs and the global technology organization, and to all business units, on a wide range of technology. Among other topics, this department provides primary legal coverage in the areas of Cloud, Technology Transactions, Outsourcing, Telecom, SaaS and Licensing Agreements. The department supports many of the firm's most strategic, transformation and cutting-edge initiatives, including, the acquisition of all technology services and external partnerships and collaborations.
Position Description:
We are currently seeking an Assistant General Counsel to join the Technology Transactions team. This is an excellent opportunity for an attorney with experience in technology transactions to support the technology initiatives of the firm's businesses and corporate functions. The attorney in this role will handle the structuring, drafting, negotiation and analysis of agreements for the acquisition of global and domestic technology products and services, including but not limited to SaaS agreements, platform agreements, in addition to the drafting of client-facing technology terms. The attorney will work closely with colleagues in the GLCR, Sourcing/Procurement and Third-Party Enterprise Risk Management, and Technology Controls.
This position is located at AIG's midtown office in New York City.
In This Role You Will:
- Review, draft and negotiate a wide variety of technology agreements, including software development, licensing and maintenance agreements, application hosting agreements, cloud services agreements, telecommunications services, and hardware leasing and purchase agreements
- Draft and negotiate agreements for procurement of other goods and services including professional and consulting services, technology and business process outsourcing, and other information technology-related services
- Review, update and maintain vendor contract templates, clause libraries, and contract review checklists, in line with market practice and AIG's legal and business needs, including to address compliance with regulatory requirements and policies and standards. Liaise with the procurement and vendor risk assessment teams with respect to vendor contracts. Conduct training on templates to various stakeholders
- Creating contract abstracts, summarizing key points/dates
- Review of internal policies and procedures as needed to improve the vendor contracts process
- Collaborate with other functional partners to ensure appropriate awareness and escalation of issues as they arise while being sensitive to confidentiality restrictions
- Provide effective and strategic legal advice by gathering information in a complex business environment, understanding business needs and goals, detecting legal issues and obstacles, identifying legal solutions and alternatives, and succinctly and competently counseling and communicating with technology and business professionals regarding legal risks, solutions, and alternatives
Qualifications:
- 3+ years of experience as a practicing attorney required with 3 solid years of advising and negotiating on technology transactions for a global multinational financial services company, or in a law firm (law firm experience preferred)
- Prefer experience in a top tier law firm and/or in a corporate in-house attorney role as well as experience working in a regulated financial services company
- Experience drafting and negotiating complex global technology agreements, e.g. software licensing/support, software as a service, outsourcing, cloud, consulting, professional and other services agreements
- JD (or local equivalent if outside the US) and Attorney candidates must be in compliance with all relevant licensing requirements to practice law, and in good standing, in at least one US jurisdiction
- Familiarity with cybersecurity, technology controls, information security, data privacy and protection, and data management
- Excellent verbal, written, negotiation and interpersonal communication skills
- Strong analytical, problem-solving and legal research skills

The base salary range for this position is $132,000.00 - $165,000.00, and the position is eligible for a bonus in accordance with the terms of the applicable incentive plan.
