The Assistant General Counsel reports to the General Counsel and works with the Global Legal Team to provide legal advice, counsel and representation to AGC Biologics. This position provides legal advice, counsel, interpretation and implementation of state and federal laws regarding procurement, intellectual property, licensing, preparation of legal documents, health care law and services, and other related legal matters. Additionally, the Assistant General Counsel supports all other functions with various other legal matters.

COMPENSATION RANGE:
$194,000 - $266,750
Fluctuations in the job market may necessitate adjustments to pay ranges. Final pay determinations will depend on various factors, including, but not limited to experience levels, knowledge, skills, and abilities.

ESSENTIAL JOB DUTIES/RESPONSIBILITIES
- Review, negotiate, and prepare legal documents such as Development & Manufacturing Services Agreements and Commercial Supply Agreements necessary to facilitate diverse commercial transactions involving AGC Biologics
- Managing compliance with corporate, securities, international, intellectual property, food and drug, antitrust, employment, government contracting, environmental, health and safety laws
- Formulate, develop, implement, interpret, and review AGC Biologics corporate policies including insider-trading and disclosure policies, code of ethics, document retention policies, and risk management and compliance programs
- Trusted advisor and business partner across the company by providing counsel and guidance for accomplishing the company's overall business objectives
- Assist with various compliance investigations, as needed
- Collaborate with the legal team on special projects across a spectrum of complex business, legal, and strategic issues
- Other duties as assigned

QUALIFICATIONS
Required:
- D. from an American Bar Association accredited law school
- Member in good standing of the WA or CO State Bar, or member in good standing of the State Bar of another state or District of Columbia.
- A minimum of 10 years' experience in a corporate legal environment; experience in biotech industry highly desired
- Experience negotiating business agreements including merger/acquisition agreements, licensing agreements, R&D agreements, supply, manufacturing and distribution agreements, government contracts, real estate contracts, joint ventures and strategic alliances
- Experience managing compliance with corporate, securities, international, intellectual property, food & drug, antitrust, employment, government contracting, environmental, health and safety
- Equivalent education and experience may substitute for stated requirements
